Overview
These Terms of Service govern your access to and use of BookRails.ai ("BookRails," "we," "our"). By creating an account or accessing our services, you agree to these terms. Please read them carefully. If you are using BookRails on behalf of an organization, you represent that you have the authority to bind that organization.
Account & access
You must provide accurate information when creating your account and keep it up to date. You are responsible for all activity under your account. Notify us immediately at security@bookrails.ai if you suspect unauthorized access. BookRails reserves the right to suspend or terminate accounts that violate these terms or present a risk to the platform.
Acceptable use
You may not use BookRails to: (a) create fraudulent bookings or artificially inflate reliability scores; (b) scrape or reverse-engineer the platform; (c) transmit malicious code; (d) violate applicable laws including privacy regulations. Violations may result in immediate suspension and potential legal action.
Bookings & liability
BookRails is a booking infrastructure platform. We facilitate connections between AI agents, consumers, and local businesses. We are not a party to any service agreement between businesses and consumers. Businesses are solely responsible for delivering the services they list. BookRails does not guarantee the accuracy of availability, pricing, or business information.
Payments (stub)
Payment capture functionality is currently in development and not yet active. Subscription billing for Pro and Enterprise plans is available. Per-booking payment capture will be enabled in a future release. All payment processing will be governed by the Payment Terms addendum when available.
Intellectual property
BookRails and its licensors own all intellectual property rights in the platform. You retain ownership of your business data. By using the platform, you grant BookRails a non-exclusive license to use your business information (name, category, availability, pricing) to operate the service, including exposure to AI agents via the registry and API.
Termination
Either party may terminate at any time. On termination, your right to access BookRails ends immediately. We will retain your data for 30 days post-termination in case of dispute, then delete it per our Privacy Policy. Free accounts inactive for 12+ months may be deleted after notice.
Dispute resolution
Disputes between you and BookRails will be resolved by binding arbitration under the rules of the American Arbitration Association, with proceedings in New York, NY. You waive the right to a jury trial. Small claims eligible for small claims court are exempt. Class actions are waived.
Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BOOKRAILS'S AGGREGATE LIABILITY TO YOU IS LIMITED TO THE AMOUNT YOU PAID IN THE LAST 12 MONTHS. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES. SOME JURISDICTIONS DO NOT ALLOW THESE LIMITS, SO THEY MAY NOT APPLY TO YOU.
Governing law
These terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law principles.
Changes to these terms
We may update these terms from time to time. We will notify you by email or in-app notification at least 14 days before material changes take effect. Continued use after the effective date constitutes acceptance.
